Terms of Service

01. Scope & Binding Agreement

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User” or “Subscriber”), acting on behalf of a licensed legal practice or law firm, and Systemores LLC (“Company,” “we,” “our,” or “us”) regarding your access to and use of the TRAC litigation intelligence platform (the “Platform”).

By accessing, registering for, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you are strictly prohibited from utilizing the Platform or any associated services.

02. Professional Legal Boundary & Visual-Aid Disclaimer

TRAC is designed exclusively as an advanced **visual verification and logic validation aid** for licensed attorneys, legal assistants, paralegals, and mass tort litigators.

CRITICAL PROFESSIONAL BOUNDARY:

  • No Legal Advice: The Platform compiles timelines, exposes chronological inconsistencies, and extracts medical fact sheet details for information collation purposes. It does not provide legal representation, legal opinions, or case strategy guidance.
  • No Medical Practice: The Platform does not diagnose clinical conditions, provide medical opinions, or perform medical treatments. Fact sheet markers (such as gastroparesis diagnosis dates or GLP-1 exposure intervals) are compiled strictly from existing unstructured records provided by you.
  • Mandatory Human Audit: Attorneys maintain ultimate ethical responsibility for the legal representations made in court filings, Plaintiff Fact Sheets (PFS), and master pleadings. Litigators MUST verify the physical record references, timeline events, and integrity flags generated by the Platform prior to final legal execution.

03. Multi-Tenant Data Protection & RLS Enforcements

We operate under a strict, tenant-isolated data segregation architecture. Subscribers agree to the following terms governing their isolated workspaces:

  • Tenant Segregation: Your case records, client uploads, chronologies, and system audits are bound strictly to your unique, authenticated organizational tenant.
  • Row-Level Security (RLS): Our database enforces strict RLS policies on all operational tables. You agree not to attempt to bypass, circumvent, or exploit the data isolation mechanisms to access resources outside your organizational scope.
  • Security Inquiries: Any suspected credential leaks or organizational breaches must be immediately reported to our security response desk.

04. Zero-Leak HIPAA Pre-Processing & Tokenization

To maintain total compliance with HIPAA guidelines, TRAC implements an in-memory **Approach A De-identification engine** to ensure that direct Protected Health Information (PHI) is never transmitted to, or cached by, external Large Language Models (LLMs) or third-party parsing APIs.

By uploading documents to the Platform, you acknowledge and agree that:

  • Direct identifiers (names, SSNs, DOBs, phone numbers, and MRNs) are stripped locally on the server in-memory, replaced with cryptographically secure placeholders, and then restored locally in-memory after processing.
  • Although TRAC guarantees the highest standard of automated in-memory de-identification, the Subscriber must ensure they have obtained necessary patient authorizations or follow applicable legal permissions before uploading physical medical charts.

05. Append-Only Compliance Auditing

To satisfy HIPAA security logging standards, the Platform writes immutable, append-only entries tracking every instance of PHI access, intake ingestion, and executive summary exports.

Subscribers explicitly acknowledge that:

  • Database rules strictly block all UPDATE and DELETE actions on the audit log tables.
  • Once a record is created or viewed, that event is permanently written to the audit trail and cannot be deleted or modified by any user, including Tenant Admins and Super Admins.

06. B2B Subscription Billing & Delinquency Suspension

Access to TRAC workspaces is provided on a recurring subscription basis. Subscribers agree to the following billing policies:

  • Payment Failures: In the event of credit card failures, payment delinquency, or failed payment retries, your workspace will automatically transition to a delinquent state, restricting all users to read-only access and blocking all ingestion and synchronization updates.
  • Service Suspension: Continued delinquency or subscription cancellation will transition the workspace to a cancelled state, fully suspending chronology access. The org_admin role must complete a reactivation checkout in the Stripe portal to restore service.
  • Third-Party Practice Systems: Subscribers who link their workspaces to Clio or Filevine APIs are responsible for ensuring active credentials and permission tokens, and acknowledge that service access delays from these platforms are outside of our liability bounds.

07. Limitations of Liability & Warranty

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

In no event shall Systemores LLC, its affiliates, directors, or technology partners be liable for any indirect, incidental, special, exemplary, or consequential damages, or damages for loss of profits, revenue, data, or use, incurred by the Subscriber or any third party, whether in an action in contract or tort, arising from your access to, or use of, the Platform or any generated reports.
